Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services made available by VoiceAgents.ca ("VoiceAgents", "we", "us", or "our"), including our marketing site, our waitlist, and our hosted multi-tenant communications platform (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms.

1. The Service

VoiceAgents provides AI-assisted customer-service tools that allow businesses to handle inbound and outbound voice calls, SMS messages, and email on behalf of their own customers. Some features are in beta or early access, may change without notice, and may not be available to all customers.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You agree to provide accurate account information, to keep it current, and to keep your credentials confidential. You are responsible for all activity that occurs under your account.

3. Customer responsibilities

If you use the Service to communicate with end-customers, you are the data controller for the personal information you upload or generate through the Service, and you are solely responsible for:

5. Call recording and AI processing

The Service may record calls, store transcripts, and use AI models to generate live responses, summaries, and structured outputs. You acknowledge that you have the legal authority to record and process the communications you send through the Service.

6. Fees, billing, and credits

Some portions of the Service are usage-metered (per minute of voice, per SMS, per email, per AI call, etc.). Fees and rates are described on the pricing page or in your order form. Usage is deducted from your account balance or invoiced as configured. We may revise pricing on prospective notice.

7. Third-party providers

The Service depends on third-party providers (including telephony carriers, AI inference providers, and email infrastructure providers). We are not responsible for outages, latency, content moderation decisions, or policy changes by those providers, but we will use reasonable efforts to provide a stable Service.

8. Confidentiality

Each party will protect the other's non-public information with the same care it uses for its own confidential information, and at minimum with reasonable care. Our Privacy Policy describes how we handle personal information.

9. Intellectual property

VoiceAgents owns the Service, including the underlying software, models, prompts, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term. You retain ownership of the data and content you upload to the Service.

10. Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual, irrevocable license to use that feedback for any purpose, without obligation to you.

11. Term and termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access (with or without notice) if you breach these Terms, fail to pay amounts owed, or use the Service in a way that creates legal, security, or reputational risk for us or for our other customers. On termination, your right to use the Service ends, and we may delete your data after a reasonable retention period.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. AI-GENERATED OUTPUTS MAY BE INACCURATE OR INAPPROPRIATE; YOU ARE RESPONSIBLE FOR REVIEWING AND CONFIRMING ANY OUTPUT BEFORE RELYING ON IT FOR DECISIONS AFFECTING YOUR CUSTOMERS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

14. Indemnification

You will defend, indemnify, and hold us harmless from any third-party claim, loss, or expense (including reasonable legal fees) arising from (a) your use of the Service in breach of these Terms or applicable law, (b) the content you transmit through the Service, or (c) the consents you were required to obtain from end-customers and failed to obtain.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising under these Terms, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or the security of the Service.

16. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. We will give reasonable notice of material changes. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a corporate reorganization, merger, or sale. These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between us regarding the Service.
